[cs_content][cs_element_section _id="1" ][cs_element_layout_row _id="2" ][cs_element_layout_column _id="3" ][cs_element_headline _id="4" ][cs_content_seo]Proposed Canonical Changes Related to the Operations of Camp Mitchell\n\n[/cs_content_seo][cs_element_headline _id="5" ][cs_content_seo]Canon 15, section 3\n\n[/cs_content_seo][/cs_element_layout_column][/cs_element_layout_row][/cs_element_section][cs_element_section _id="6" ][cs_element_layout_row _id="7" ][cs_element_layout_column _id="8" ][cs_element_text _id="9" ][cs_content_seo]PASSED – 19 Feb 2022\n\n[/cs_content_seo][cs_element_text _id="10" ][cs_content_seo]Canon 15, section 3, shall be amended by replacing section 3 with the following:Section 3.Camp Mitchell is an institution and function of the Episcopal Diocese of Arkansas, and is either governed by:(a) A special commission of the Convention known as the Camp Mitchell Board of Trustees (the “Camp Mitchell Board”), subject to the oversight of the Bishop, the Convention, and the Executive Council. The Camp Mitchell Board shall consist of eleven (11) members: one (1) elected from the Episcopal Youth Community, five (5) elected at large from the Diocese, and five (5) appointed by the Bishop. The Bishop, or his or her designee, shall serve as an ex officio member of the board. Terms of office shall be for three years and may run consecutively not to exceed a total of six consecutive years. Members of the board may be either clergy or lay, provided there shall be at least three clergy and three lay members of the board. The Bishop shall annually appoint one member of the board to serve as Chair at the pleasure of the Bishop. There shall be an Executive Director who shall be appointed by and serve at the pleasure of the Board of Trustees; or(b) Following approval of the Executive Council and the Bishop, Camp Mitchell shall be operated as an incorporated Arkansas nonprofit corporation which is not subject to Federal or Arkansas income tax pursuant to the provisions of Internal Revenue Code §501(c)(3), or any successor provisions, and in accordance with the applicable U.S. Treasury Regulations and Rulings. Camp Mitchell shall be governed by a Board of Directors, the membership of which shall be set forth in its Articles of Incorporation and duly adopted Bylaws; the members of which Board of Directors shall be appointed by the Bishop. The provisions of the Articles of Incorporation and the Bylaws of Camp Mitchell shall be subject to the approval by the Executive Council and the Bishop, and all changes in such Articles or such Bylaws shall be subject to approval by the Executive Council and the Bishop. All real property and improvements thereon used by Camp Mitchell shall be leased from the Diocese pursuant to long-term lease agreements at nominal rental payments, which leases and any renewals thereof shall be subject to review and approval by the Executive Council, the Standing Committee, and the Bishop. All such real estate and improvements, and the leases related thereto, shall be held in trust for the benefit of the Diocese of Arkansas and the Episcopal Church along with all other assets owned, leased, or acquired by Camp Mitchell or used in the operations of Camp Mitchell. No real property or the improvements thereon may be acquired, sold, leased, or encumbered for the use of Camp Mitchell without approval of the Standing Committee of the Diocese and the Bishop.(c) The Camp Mitchell Board of Directors shall have the full responsibility for the operation of the Camp and use of the facilities and property for the benefit of the Camp, the making and enforcing of all policies governing the operation of the Camp and the use of the facilities, and the overall responsibility for planning, direction, and future development of Camp Mitchell. The Camp Mitchell Board shall annually provide to the Executive Council a report of the operations of the Camp and its financial condition. The Executive Council and the Bishop may request additional reports from the Camp Mitchell Board of Directors as necessary. Following establishment of Camp Mitchell as an incorporated nonprofit, tax-exempt corporation, the Board of Directors and the officers of the corporation shall perform all duties as prescribed in the Articles of Incorporation and the Bylaws.\n\n[/cs_content_seo][cs_element_line _id="11" ][/cs_element_layout_column][cs_element_layout_column _id="12" ][cs_element_text _id="13" ][cs_content_seo]ORIGINAL\n\n[/cs_content_seo][cs_element_text _id="14" ][cs_content_seo]Canon 15, section 3, currently reads as follows:Section 3.(a) Camp Mitchell is an institution and function of the Episcopal Diocese of Arkansas, governed by a special commission of the Convention known as the Camp Mitchell Board of Trustees (the “Camp Mitchell Board”), subject to the oversight of the Bishop, the Convention, and the Executive Council. The Camp Mitchell Board shall beresponsible to the Bishop and to the Convention in the carrying out of its responsibilities.(d) The Camp Mitchell Board shall meet as frequently as may be deemed necessary by the board, the Bishop, or the Executive Council. The Executive Director shall submit a monthly financial statement to the Executive Council and the Diocesan Treasurer.\n\n[/cs_content_seo][/cs_element_layout_column][/cs_element_layout_row][/cs_element_section][cs_element_section _id="15" ][cs_element_layout_row _id="16" ][cs_element_layout_column _id="17" ][cs_element_line _id="18" ][cs_element_headline _id="19" ][cs_content_seo]Proposed Canonical Changes Related to Vestry Qualifications Language\n\n[/cs_content_seo][cs_element_headline _id="20" ][cs_content_seo]Canon 24, Section 6(c)["a husband and wife" changed to "two persons in a marriage or a domestic partnership," and "spouses" changed to "spouse or domestic partner"]\n\n[/cs_content_seo][/cs_element_layout_column][/cs_element_layout_row][/cs_element_section][cs_element_section _id="21" ][cs_element_layout_row _id="22" ][cs_element_layout_column _id="23" ][cs_element_text _id="24" ][cs_content_seo]PASSED – 19 Feb 2022\n\n[/cs_content_seo][cs_element_text _id="25" ][cs_content_seo]Canon 24, section 6(c), shall be amended by changing the wording as follows:Section 6:(c) The qualifications for a member of the Parish vestry shall be as follows: A confirmed communicant of the Parish in good standing of not less than 18 years of age, a frequent attendant upon the services of the Parish for the six months next preceding the election and a regular contributor and pledger of record, or a member of a family unit which is a regular contributor and pledger of record for the support of the Parish; PROVIDED (1) two persons in a marriage or a domestic partnership shall not both be members of the vestry at the same time; and (2) members of the paid staff (including clergy) of a Parish working more than ten (10) hours per week, and their spouse or domestic partner, shall not be eligible to serve.  In case of a question as to eligibility, the report of the Rector in consultation with the Treasurer shall be final, provided that subparagraph 2 of this paragraph shall not apply to vestry members taking office prior to March 1, 1999.\n\n[/cs_content_seo][cs_element_line _id="26" ][/cs_element_layout_column][cs_element_layout_column _id="27" ][cs_element_text _id="28" ][cs_content_seo]ORIGINAL\n\n[/cs_content_seo][cs_element_text _id="29" ][cs_content_seo]Canon 24, section 6(c), currently reads as follows:Section 6:(c) The qualifications for a member of the Parish vestry shall be as follows: A confirmed communicant of the Parish in good standing of not less than 18 years of age, a frequent attendant upon the services of the Parish for the six months next preceding the election and a regular contributor and pledger of record, or a member of a family unit which is a regular contributor and pledger of record for the support of the Parish; PROVIDED (1) a husband and wife shall not both be members of the vestry at the same time; and (2) members of the paid staff (including clergy) of a Parish working more than ten (10) hours per week, and their spouses, shall not be eligible to serve.
